            Policies and Guidelines

            MDC Partners strongly believes in the ethical and proper business conduct of its employees (including the employees of its subsidiaries). MDC has therefore established a Compliance Program, which is supported and enforced by the highest levels of management of the company. As part of this Compliance Program, the Company has adopted a Code of Conduct and Whistleblower Policy and has also adopted a set of Corporate Governance Guidelines and additional Corporate Governance Initiatives.             Committees of the Board

            • Nominating and Corporate Governance Committee

              Chairman: Scott Kauffman

              Members: Senator Michael Kirby

              Responsibilities: The Nominating and Corporate Governance Committee is composed of five members, all of whom are unrelated directors. The committee is responsible for reviewing and making recommendations to the Board with respect to developments in the area of corporate governance and the practices of the Board. The committee is also responsible for evaluating the performance of the Board as a whole, along with individual Board members, and for reporting to the Board with respect to appropriate candidates for nominations to the Board.

            • Human Resources and Compensation Committee

              Chairman: Clare Copeland

              Responsibilities: The Human Resources and Compensation Committee determines the compensation of all senior officers of MDC Partners. The committee discusses personnel and human resource matters, including recruitment and development, management succession, and benefit plans. As well, the committee grants options under the company’s Employee Stock Option Incentive Plan.

              Responsibilities: The Audit Committee reviews all financial statements, annual and interim, intended for circulation among shareholders and reports upon these to the Board. In addition, the Board of Directors may refer to the Audit Committee on other matters and questions relating to the financial position of MDC Partners and its affiliates.

We do this by not only leveraging best practices and our capital, but also by enlisting world-class practice-area experts as part of our Strategic Resources Group.  This group of executives actively works with our partner firms in areas such as new business development and cross-pollination of client relationships, overall strategy, digital strategy, analytics, talent development, retention and recruitment, procurement, operational best practices and public relations.

            What is the difference between MDC's Strategic Marketing Services segment and its Performance Marketing Services segment?

            MDC Partners reports revenues in two segments, the Strategic Marketing Services Group and the Performance Marketing Services Group.

            Strategic Marketing Services Group – This segment includes all integrated advertising agencies and strategic consulting services firms, including:

            72andSunny, Allison+Partners, Anomaly, Attention, Bruce Mau Design, Colle+McVoy, CP+B, Doner, Hello, HL Group, KBS+, Laird + Partners, mono, Redscout, Sloane & Company, Veritas, VITRO, Yamamoto.

            Performance Marketing Services Group—This segment predominantly includes firms that use data analytics, provide consumer insights, or one-to-one consumer engagements to satisfy the growing need for targetable, measurable solutions and cost-effective means of driving increasing return on marketing investment for clients, including:

            6degrees, ACCENT, Assembly, BOOM! Marketing, Bryan Mills Iradesso, Integrated Media Solutions, Kingsdale Shareholder Services, LocalBiz Now, Luntz Global, Northstar Research Partners, Onbrand, Relevent, Source Marketing, TargetCom, TEAM Enterprises.

            Strategic Marketing Services represented 70% of revenue in Q2 2014, and Performance Marketing Services represented 30% of revenue.

            What are MDC’s plans for expansion internationally?

            In the second quarter of 2014, 94% of MDC Partners’ revenues were generated in North America. While MDC has historically largely been focused on North America, the largest market for our services in the world, our global footprint is becoming increasingly important as clients are looking to us to help them grow their businesses in new markets. Over the last few years, in fact, we invested in multiple new overseas offices in order to leverage existing relationships with global clients. We now have a presence in Europe through 72andSunny, Allison+Partners, Anomaly, CP+B, Doner, kbs+, Kwittken and Northstar Research Partners, in Asia through Allison+Partners, Anomaly, and kbs+, and as of early 2014, in Brazil through CP+B. Over time, based on client demand, we expect our overseas presence to increase as a percent of the total business.
